Welcome to Futurist IP ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, mobile application, and services (collectively, the "Service") operated by Futurist IP.

Futurist IP is an AI-powered patent due diligence platform that helps legal professionals and IP firms assess patent portfolio risks through inventor tracking, employment verification, and retention probability analysis. Our Service includes:

• Employment history verification and analysis
• Retention probability scoring and recommendations
• Comprehensive due diligence reports and data export tools

3. User Accounts

3.1 Account Creation

To use certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.

4. AI and Machine Learning

4.1 AI Services

Our Service uses artificial intelligence and machine learning to provide personalized recommendations, inventor disambiguation, risk scoring, and analysis generation. AI features are integral to our platform's functionality and cannot be disabled.

4.2 AI Accuracy and Limitations

AI-generated content, recommendations, and insights are provided for informational purposes only. While we continuously improve our AI systems, they may sometimes produce inaccurate, inappropriate, or biased results. You are solely responsible for reviewing, validating, and using any AI-generated content at your own discretion.

4.3 AI Service Integration

Our Service integrates with third-party AI services to enhance functionality. By using our Service, you acknowledge that your data may be processed by these integrated AI systems as part of providing our core features.

4.4 No AI Liability

We disclaim all liability for any decisions you make based on AI-generated content or recommendations. You understand that AI outputs should not replace professional legal advice or personal judgment in IP due diligence matters.

5. Prohibited Uses

You may not use our Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To spam, phish, pharm, pretext, spider, crawl, or scrape

6. Disclaimers

6.1 Due Diligence Results

We do not guarantee that use of our Service will result in any particular outcome in IP transactions or legal proceedings. Due diligence success depends on many factors beyond our control.

6.2 Third-Party Data Sources

Patent and employment data on our platform may come from third-party sources. We do not verify the accuracy of all data and are not responsible for the content or accuracy of third-party data sources.

7. Payments and Subscriptions

7.1 Subscription Plans

Futurist IP offers both trial and paid contract plans. Paid plans provide access to premium features such as advanced AI risk analysis, comprehensive reports, and enhanced patent capacity.

7.2 Billing

Subscription fees are billed based on contract terms (monthly or annually, depending on your plan). You authorize us to charge your chosen payment method for the subscription fees.

7.3 Refunds and Cancellation

You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of your current billing period. We do not provide refunds for partial months or unused portions of paid subscriptions, except as required by applicable law.

7.4 Price Changes

We reserve the right to modify our subscription prices. Any price changes will be communicated to you at least 30 days in advance and will take effect at your next billing cycle.

8. Limitation of Liability

IN NO EVENT SHALL FUTURIST IP, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

9. Termination

9.1 Termination by User

You may terminate your account at any time by contacting us or using the account shut down feature in your settings. Upon termination, your access to the Service will cease immediately.

9.2 Termination by Futurist IP

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or engage in prohibited conduct.

9.3 Effect of Termination

Upon termination, we will delete your personal data, except for information we are required to retain by law. You will lose access to all premium features and stored data.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

10.2 Dispute Resolution Process

Any disputes arising from these Terms or your use of the Service shall first be addressed through good faith negotiations. If unresolved within 30 days, disputes may be submitted to binding arbitration under the Arbitration Rules of the Ontario Superior Court of Justice.

10.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada for any legal proceedings related to these Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
